1. Acceptance of Terms

Welcome to IVOTIA. By accessing or using our platform at ivotia.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Platform.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and IVOTIA Inc. ("IVOTIA," "we," "us," or "our"). We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Platform Description

IVOTIA is an online marketplace that connects buyers with sellers and service providers primarily across Africa. The Platform enables users to:

• Buy and sell products and digital assets
• Offer and purchase professional services
• Communicate with other users regarding transactions
• Process payments securely through integrated payment gateways

IVOTIA acts as a platform facilitator and is not a party to the transactions between buyers and sellers unless explicitly stated.

3. Eligibility

To use IVOTIA, you must:

• Be at least 18 years old or the age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts
• Not be prohibited from using the Platform under any applicable law
• Provide accurate, current, and complete registration information

4. Account Registration & Security

You may create an account using your phone number. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Provide accurate and truthful information during registration
• Keep your account information up to date
• Notify us immediately of any unauthorized access to your account
• Not share your account with others or create multiple accounts

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

5. Buyer Terms

As a buyer on IVOTIA, you agree to:

• Pay for items or services as agreed upon at the time of purchase
• Provide accurate shipping and contact information
• Communicate promptly with sellers regarding orders
• Not initiate chargebacks or disputes without first attempting resolution through our Platform
• Leave honest and fair reviews based on your actual experience

6. Seller & Service Provider Terms

As a seller or service provider, you agree to:

• Provide accurate descriptions of your products or services
• Fulfill orders within the timeframes stated in your listings
• Maintain the quality standards represented in your listings
• Comply with all applicable laws, including consumer protection regulations
• Not list prohibited or illegal items or services
• Handle customer complaints and disputes professionally

IVOTIA may charge service fees or commissions on transactions. The current fee structure will be communicated to sellers upon registration and may be updated with reasonable notice.

7. Prohibited Activities

You may not use the Platform to:

• Sell counterfeit, stolen, or illegal products
• Engage in fraud, money laundering, or deceptive practices
• Harass, threaten, or abuse other users
• Manipulate reviews, ratings, or search results
• Circumvent platform fees by conducting transactions off-platform
• Upload malware, viruses, or any harmful content
• Scrape, crawl, or collect data from the Platform without authorization
• Violate any intellectual property rights

8. Payments & Fees

IVOTIA integrates with trusted payment providers including Paystack, M-Pesa, and Pesapal to facilitate secure transactions. All payments are processed in accordance with the respective payment provider's terms.

Prices are displayed in the applicable local currency. Sellers are responsible for setting their own prices and for any applicable taxes. IVOTIA is not responsible for currency conversion rates or additional fees charged by payment providers or banks.

9. Intellectual Property

The IVOTIA name, logo, and all Platform content (excluding user-generated content) are the property of IVOTIA Inc. and protected by intellectual property laws.

By uploading content to the Platform, you grant IVOTIA a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting the Platform. You retain ownership of your content.

10. Dispute Resolution

In the event of a dispute between users, we encourage parties to resolve issues directly. If a resolution cannot be reached, IVOTIA may, at its discretion, mediate the dispute. Our decisions in such cases are final and binding.

For disputes between you and IVOTIA, you agree to first attempt informal resolution by contacting our support team. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with applicable local laws.

11. Limitation of Liability

To the maximum extent permitted by law, IVOTIA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the fees paid by you to IVOTIA in the twelve (12) months preceding the claim.

IVOTIA does not guarantee the quality, safety, or legality of items or services listed, the truth or accuracy of listings, or the ability of sellers to sell or buyers to buy.

12. Termination

You may close your account at any time by contacting our support team. IVOTIA reserves the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our discretion.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect (including payment obligations, intellectual property, and limitation of liability).

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which IVOTIA Inc. is incorporated, without regard to conflict of law principles.
